These Terms of Use ("Terms") are a binding agreement between you and Nurvtronix LLC governing your access to and use of the websites nurvtronix.com, builtbynurv.com, and nurvos.ai (the "Sites"). By accessing or using the Sites, you agree to these Terms. If you do not agree, do not use the Sites. If you use the Sites on behalf of an organization, you represent that you are authorized to bind it, and "you" includes that organization. Paid services are governed by a separate signed Master Services Agreement, which controls over these Terms for those services.
1. Use of the Sites
You may use the Sites only for lawful, informational purposes and in compliance with these Terms and all applicable laws. You will not, and will not attempt to: (a) misuse, probe, scan, overload, or disrupt the Sites or their security or infrastructure; (b) access the Sites by automated means, scrape, crawl, or harvest data except as we expressly permit; (c) use the Sites to infringe, defame, harass, or violate any law or third-party right; (d) misrepresent your identity or affiliation; or (e) reverse engineer or copy any part of the Sites. We may suspend or terminate your access at any time, without notice, for any reason, including suspected violation of these Terms.
2. Intellectual property
The Sites and all of their content — text, logos, software, code, and design — are owned by Nurvtronix LLC or its licensors and protected by copyright, trademark, and other laws. "Nurvtronix" and our associated names and marks are our trademarks; you may not use them without our prior written permission. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Sites for their intended purpose only. All rights not expressly granted are reserved. 3. No professional advice; no guarantee
Content on the Sites is provided for general informational purposes only and is not legal, financial, tax, or other professional advice, and creates no professional relationship. Descriptions of our services are illustrative; actual results depend on your data and circumstances, and we make no guarantee of any specific outcome. You are solely responsible for any decisions you make based on the Sites.
4. Third-party links & services
The Sites may link to or rely on third-party sites and services we do not control and are not responsible for. Your use of them is at your own risk and subject to their terms.
5. Disclaimer of warranties
The Sites and all content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Sites will be uninterrupted, timely, secure, accurate, or error-free, or that any defects will be corrected. No advice or information obtained from the Sites creates any warranty not expressly stated here.
6. Limitation of liability
To the maximum extent permitted by law, Nurvtronix LLC and its owners, officers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of or inability to use the Sites, on any theory of liability, even if advised of the possibility. In all cases, our total aggregate liability for any and all claims relating to the Sites will not exceed one hundred U.S. dollars (USD $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the smallest amount permitted by law. These limitations are a fundamental basis of the bargain and apply even if a remedy fails of its essential purpose.
7. Indemnification
You will defend, indemnify, and hold harmless Nurvtronix LLC and its owners, officers, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Sites, your violation of these Terms, or your violation of any law or third-party right.
8. Binding arbitration & class-action waiver
To the maximum extent permitted by law, any dispute arising out of or relating to the Sites or these Terms will be resolved by final and binding individual arbitration administered under the rules of a recognized arbitration provider seated in Virginia, rather than in court, except that either party may bring an individual claim in small-claims court. You and Nurvtronix LLC each waive any right to a jury trial and to participate in a class, collective, or representative action. If this class-action waiver is held unenforceable, the arbitration provision is void as to that dispute.
9. Governing law & venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. To the extent any dispute is not subject to arbitration, it will be brought exclusively in the state or federal courts located in Loudoun County, Virginia (or the U.S. District Court for the Eastern District of Virginia), and you consent to their personal jurisdiction and venue.
10. General
If any provision of these Terms is held unenforceable, the rest remain in effect and the unenforceable provision is limited or removed to the minimum extent necessary. Our failure to enforce any right is not a waiver of it. These Terms (with the Privacy Policy, and any signed services agreement for paid services) are the entire agreement between us regarding the Sites. You may not assign these Terms; we may assign them freely. Neither party is liable for delays or failures caused by events beyond its reasonable control. Sections that by their nature should survive termination will survive.
11. Changes
We may update these Terms at any time; the "Last updated" date reflects the current version, and your continued use of the Sites after a change constitutes acceptance.
